Terms of Service

1. Acceptance of Terms

By creating an account or using SOY ScriptWriter™ (the 'Service'), you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Accounts

You are responsible for safeguarding your credentials and for all activity under your account. You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. Provide accurate information and keep it current.

3. Acceptable Use

You agree not to:

• Upload content that is unlawful, infringing, defamatory, or invasive of another's privacy.
• Attempt to reverse engineer, disrupt, or overload the Service or its infrastructure.
• Use the Service to generate content that violates applicable law or third-party rights.
• Resell, sublicense, or share your account with others outside an authorized Team plan.
• Use automated scraping, abusive request volumes, or bypass usage limits.

4. Subscriptions, Billing & Refunds

Paid plans renew automatically on the cycle you select (monthly or annual) until you cancel. You may cancel at any time from Account Settings; access continues until the end of the current billing period. Fees already paid are non-refundable except where required by law. We may change pricing with prior notice; changes apply to the next renewal.

5. Credits & AI Usage

Free and paid plans include monthly chat and image credits as described on the Pricing page. Credits are non-transferable and have no cash value. Unused monthly credits do not roll over. Top-up credit packs are consumed after included monthly allotments and do not expire while your account is active.

6. Your Content & Intellectual Property

You retain all ownership of scripts, ideas, characters, and other materials you create or upload ('Your Content'). You grant us a limited, worldwide license to host, store, transmit, and display Your Content solely to provide the Service to you. We do not claim ownership of Your Content and do not use it to train third-party foundation models.

7. AI-Generated Output

The Service uses third-party AI models to assist with writing and ideation. AI output may be inaccurate, derivative, or unsuitable for your purpose. You are responsible for reviewing, editing, and verifying AI output before relying on it, publishing it, or submitting it to competitions, agents, or buyers.

8. Our Intellectual Property

The Service, including its software, design, logos, and the 'SOY ScriptWriter™' name, is owned by us and protected by intellectual property laws. These Terms do not transfer any rights in the Service to you beyond the limited right to use it.

9. Disclaimers

The Service is provided 'as is' and 'as available' without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will meet your expectations.

10. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill. Our total liability for any claim arising from the Service is limited to the amount you paid us in the twelve months preceding the claim.

11. Termination

You may delete your account at any time from Account Settings. We may suspend or terminate accounts that violate these Terms or that have been inactive for extended periods. Upon termination, your access ends and your data may be deleted after a reasonable grace period.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced in-app or by email. Continued use after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict-of-law principles. Any dispute will be resolved in the courts located in Vancouver, British Columbia, unless applicable consumer-protection law in your jurisdiction provides otherwise.
